LocalsRide Terms of Use

These Terms of Service (the "Terms") govern access to and use of the LocalsRide online service available at https://localsride.com and its third‑level subdomains (the "Site") and related functionality (the "Service").

Effective date of this version: March 01, 2026. These Terms remain in effect until replaced by a new version posted on the Site.

1. How These Terms Work

1.1 Acceptance. By creating an account, accessing, or using the Service, you ("User", "you") agree to these Terms without reservation. If you do not agree, do not use the Service.

1.2 Updates. We may revise these Terms at any time at our discretion. The updated version becomes effective upon posting on the Site. Continued use after posting means you accept the updated Terms.

1.3 Time standard. Unless expressly stated otherwise, all time periods and deadlines in these Terms are determined using UTC+0. Calendar days start at 00:00 and end at 24:00 UTC+0.

2. What LocalsRide Is (and Is Not)

2.1 Marketplace role. The Service is a technology platform that enables Users to search for transportation service providers registered with the Service (the "Carriers") and to exchange information to arrange private passenger transportation and certain other offline services ("Transfers").

2.2 No transportation provider. The Company does not provide transportation services and is not a motor carrier. When you accept a Carrier’s offer for a Transfer, you enter into a contract directly with that Carrier (the "Transportation Contract").

2.3 Limited scope of Company responsibility. Our responsibility is limited to facilitating information exchange between you and Carriers and, where applicable, handling the transfer of amounts you pay through the Service to the Carrier in accordance with applicable payment flows described in these Terms.

3. Accounts and Access Levels

3.1 Personal Account. After registration, you may access your account area (the "Personal Account"), which contains account data, settings, Requests and Offers history, and communications.

3.2 Authorized contacts. You may add contact persons who may use the Service via your Personal Account within the permissions you provide. You are responsible for their actions.

3.3 Credential security. You are responsible for safeguarding your login credentials and for all activities performed under your Personal Account.

3.4 Saver and Flexible.

You can choose between two access levels. You can switch between them in your Personal Account (availability may depend on product settings). - Saver: 24/7 Personal Account access; support via chat and email from 8:00–20:00 (GMT+2); support in English; no free cancellation period for Transfers. - Flexible: 24/7 Personal Account access; 24/7 support via available channels (phone/chat/messengers/email); support in any language available in the Service; free cancellation period for Transfers up to the agreed start time (subject to Section 6).

4. Requests, Offers, and Formation of a Transportation Contract

4.1 Creating a Request. In the Personal Account you may submit a request to find a Carrier (a "Request") by completing the Service fields (date/time, route, passengers, luggage, child seats, and other parameters; for hourly services — maximum time/distance, etc.). If the "comments" field conflicts with structured fields, the structured fields control.

4.2 Receiving Offers. A Carrier may respond to your Request with an offer (an "Offer"). You may receive multiple Offers for a single Request.

4.3 Acceptance. If you accept an Offer, a Transportation Contract is formed directly between you and the Carrier on the terms of that Offer.

4.4 Carrier cancellation/refusal. If a Carrier refuses to perform a Transfer after an Offer has been accepted, the Transportation Contract is treated as terminated by the Carrier. You may accept another Offer or cancel the Transfer subject to Section 6.

4.5 Essential changes by User. If you change essential Transfer terms (pick‑up time, route, number of passengers, vehicle class, etc.), that change is treated as a cancellation initiated by you; the Carrier may refuse to perform the Transfer under changed terms, and refunds/credits are handled under Section 6.

5. Eligibility, Conduct, and Non‑Discrimination

5.1 Age and capacity. You may use the Service independently only if you have reached the age of majority under the laws of the country where the Transfer takes place. Minors may participate only when accompanied by adults.

5.2 Truthfulness of information. You represent that information you provide through the Service is accurate, complete, and not misleading. You must promptly update outdated information.

5.3 Prohibition of discrimination. You must not submit Requests containing discriminatory requirements (including requests based on sex, race, nationality, sexual orientation, or similar protected characteristics). If you do, we may reject the Request and/or block your Personal Account.

6. Payments, Currency, and Cancellations

6.1 Paying for Transfers

After you accept an Offer, you may be required to prepay all or part of the Transfer Price (but not less than 30%, unless the Service indicates otherwise) using payment methods offered through the Service. In certain cases, the Offer may allow payment in cash directly to the Carrier.

We do not store your full payment card data. Payment processing is performed by payment service providers (PSPs) used by the Company.

6.2. Within 4 months upon the end of Transfer the User may rate the Carrier for the quality of Transfer fulfilment, by indicating from one to five stars in the Service; five stars shall mark the highest rating. In case the Transfer was not fulfilled through the Carrier’s fault, the User may within 30 minutes upon the Transfer agreed starting time indicate the "no-show" mark or inform the support service about the Carrier's no-show, which gives the Carrier two marks with zero stars each.

6.2 Additional costs (waiting/driving time)

An Offer may include tariffs for additional waiting time or additional driving time for time‑limited Transfers ("Additional Costs"). If additional waiting/driving occurs, such Additional Costs are calculated using actual time and the tariffs stated in the Offer. You authorize the Company and/or its PSP to charge Additional Costs based on your acceptance of the Offer.

6.3 Currency and exchange rates

If you pay in a currency different from the Offer currency, conversion may apply according to the payment provider’s rules. Where the Service calculates conversion between the selected currency and the Offer currency, the Service may reference a publicly available exchange rate source indicated in the Service at the time the Offer is sent.

6.4 Gross payments; no set‑off; legal withholdings

Unless these Terms expressly state otherwise: (a) payments you make are gross and without set‑off; (b) if withholding is required by law, the payable amount will be adjusted to ensure the Company receives the intended net amount; and (c) you are responsible for taxes payable by you in connection with your payments.

6.5 Cancellation and credits

Depending on your access level and the timing/grounds of cancellation, amounts paid toward a Transfer may be credited to your Personal Account balance and may be used to pay for other Transfers or (where supported) returned to your bank account upon request. - Flexible: you may cancel a fully paid Transfer by contacting support (email or support chat) within the applicable cancellation window shown for your selected access level. - If a Transfer is cancelled by the Carrier or by the Company (except where another Carrier performs the Transfer), paid amounts are credited to your Personal Account balance. - If you change essential Transfer terms not later than 48 hours before the scheduled pick‑up time, paid amounts may be credited to your Personal Account balance (subject to the Service rules for your access level). - If the Carrier fails to comply with vehicle tracking terms specified in the Offer and you cancel before the Transfer starts, paid amounts may be credited to your Personal Account balance.

6.6 Cash payments

If you paid the Carrier in cash, any refund request must be made directly to the Carrier. The Company does not manage cash payments and does not participate in disputes related to cash settlements.

6.7 No‑show events (no refund)

No refund is provided if you or a passenger on whose behalf you placed the order does not appear at the agreed pick‑up location within the applicable waiting period after the scheduled pick‑up time: 60 minutes at airports/sea/river passenger terminals; 30 minutes at railway stations; 15 minutes at other pick‑up locations; and 5 minutes for Transfers requested less than 30 minutes before the scheduled pick‑up time. No refund is also provided if you present Special Cargo that was not agreed or cargo prohibited to be carried.

7. Your Ongoing Obligations

You agree to: - Review Service notices and updates.- Use the Service only for lawful purposes and as permitted by these Terms.- Protect account credentials and notify us of suspected compromise.- Not interfere with the Service; not scrape, index, or data mine the Site/Service.- Not copy, modify, distribute, license, sell, resell, or create derivative works from the Service except as permitted.- Not attempt unauthorized access to the Service or related systems.- Comply with applicable laws and obtain necessary travel/border documents for you and your passengers.

7.1 Ratings

You may rate a Carrier within four (4) months after Transfer completion. If a Transfer is not performed due to the Carrier’s fault, you may mark "no‑show" within 30 minutes after the scheduled start time or contact support, as provided in the Service.

8. Intellectual Property

The Service, software, Site content, databases, trademarks, logos, and related materials are owned by the Company or its licensors. You receive a limited, non‑exclusive, non‑transferable, revocable license to access and use the Service solely for your personal, non‑commercial use. All rights not expressly granted are reserved.

9. Disclaimers

To the fullest extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE". We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement. We do not guarantee uninterrupted, timely, secure, or error‑free operation.

10. Limitation of Liability

10.1 No indirect damages. To the fullest extent permitted by law, we are not liable for indirect, incidental, special, exemplary, punitive, or consequential damages (including lost profits or lost data), even if advised of the possibility.

10.2 No liability for Carrier relationship. We are not liable for any transaction, dispute, or relationship between you and any Carrier, or for your inability to access or use the Service.

10.3 Aggregate cap. Our total liability for claims arising out of or relating to these Terms will not exceed the Transfer Price you paid to the Company in connection with the relevant Transfer.

10.4 Events beyond control. We are not responsible for delays or failures caused by events beyond our reasonable control (including war, riots, government restrictions, labor disputes, epidemics, storms, floods, earthquakes, and similar events).

11. Indemnification

You will indemnify and hold the Company harmless from liabilities, losses, and costs arising from (a) your breach of these Terms; (b) our enforcement of rights under these Terms; or (c) infringement of intellectual property rights or other legal violations connected with your use of the Service.

12. Marketing, Privacy, and Compliance Screening

12.1 Marketing messages. You consent to receive promotional communications. You may opt out through available Service tools.

12.2 Privacy. Personal data processing is described in the Privacy Policy. By using the Service, you consent to processing as described in these Terms and the Privacy Policy, Sanctions Policy, and KYC Policy.

12.3 Compliance screening. Information you provide through the Service may be checked for sanctions compliance purposes under applicable U.S. regulations.

13. Assignment and Third‑Party Rights

13.1 Assignment. The Company may assign, transfer, novate, or otherwise deal with these Terms and its rights/obligations without your consent.

13.2 Third‑party rights. No person who is not a party may enforce any provision of these Terms.

14. Termination and Set‑Off Waiver

14.1 Term. These Terms start when you first use the Service and continue until terminated.

14.2 Termination by Company. The Company may suspend or terminate access immediately (without prior notice) if: (a) you breach these Terms or indicate inability/unwillingness to comply; (b) required by law or regulator; or (c) performance becomes not commercially viable. We will provide notice under Section 16 where practicable.

14.3 Waiver of set‑off. You waive any right of set‑off, netting, counterclaim, abatement, or similar remedy against the Company to the fullest extent permitted by law.

15. Governing Law and Venue (Delaware)

15.1 Governing law. These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to conflict‑of‑laws principles.

15.2 Courts. Any legal action arising out of or relating to these Terms must be brought exclusively in the courts of the State of Delaware located in New Castle County. Each party submits to personal jurisdiction and waives objections based on venue or forum non conveniens.

16. Notices

16.1 To Users. We may give notices by posting on the Site or by sending an email to the address associated with your account. Notice is deemed received when posted or sent (whichever is earlier), unless we promptly receive an automated non‑delivery message.

16.2 To Company. Notices to the Company should be sent to the contact email indicated on the Site (including info@localsride.com where applicable).

17. Miscellaneous

17.1 No waiver. Failure or delay to exercise a right is not a waiver.

17.2 Cumulative remedies. Rights and remedies are cumulative.

17.3 No partnership/agency. These Terms do not create a partnership, joint venture, advisor, fiduciary, agency, employment, or similar relationship.

17.4 Severability. If a provision is held illegal or unenforceable, it will be severed to the minimum extent necessary; the remainder will remain effective unless severance would alter the basic nature of these Terms or be contrary to public policy.

17.5 Language. The English version controls in case of any inconsistency with a translation.
